  • Axium Infrastructure Inc. and other project parties in the refinancing of the Sea-to-Sky Highway public-private partnership (PPP) project in British-Colombia by way of an offering of $556,495,000 aggregate principal amount of 2.629% Fixed Rate Series A Senior Secured Amortizing Bonds due 2030 of Sea to Sky Highway Investment Limited Partnership, in all the provinces of Canada, the United States and certain other international jurisdictions.
  • Macquarie Infrastructure and Real Assets, in its C$845M sale of Concession A25, L.P., the concessionaire of the A25 PPP (P3) Toll Road, to the Transurban Group.
  • Boralex Inc. in its acquisition of all of the economic interests of Invenergy Renewables LLC in 5 wind farms in Québec, totaling 201MW of net installed capacity, for a total cash consideration of C$215M.
  • Boralex Inc., a leader in the Canadian market for the development, building and operation of renewable energy power facilities and France’s largest independent producer of onshore wind power, in connection with the completion of its acquisition of all of the economic interest in a solar farm project currently at the development stage and intended to be a 30-MW photovoltaic solar power production facility located in the Province of Alberta.
  • Boralex Inc. in its acquisition of all of the economic interest of ENERCON Canada Inc. in the 230-MW Niagara Region Wind Farm project, located in Ontario, for a total cash consideration of C$232.4M, and its accession to senior secured ring-fenced financings totaling C$828.3M from a club of international financial institutions. We also acted for Boralex Inc. as co-counsel in its related C$173M equity offering, the proceeds of which were used to finance the acquisition.
  • Johnson Matthey Battery Materials Ltd, wholly-owned subsidiary of Johnson Matthey Plc, a multinational company specializing in chemical products, in the signing of final agreements with Nemaska Lithium inc. and its exclusive subsidiaries, as part of an agreement protocol for collaboration, financial support and the procurement of lithium salts, for an approximate total value of $12M.
  • EDF EN Canada Inc., a subsidiary of EDF Renewable Energies, in the sale of a 15% ownership stake in the 350-MW Rivière du Moulin project to the RCM of Charlevoix and of Fjord-du Saguenay (5%), to the Innu First Nations of Mashteuiatsh and Essipit (5%) and to the Huron-Wendat Nation (5%).
  • EDF EN Canada Inc., a subsidiary of EDF Energies Nouvelles, in connection with the financing of the 74-MW Mont-Rothery Wind Project and the sale of an interest to a consortium formed by Régime de rentes du Mouvement Desjardins, Desjardins Financial Security Life Assurance, Certas Home and Auto Insurance Company and The Manufacturers Life Insurance Company.
  • EDF EN Canada Inc., a subsidiary of EDF Energies Nouvelles, in the financing of the 350-MW Rivière du Moulin Wind Project and sale of a 42.5% interest to a consortium formed by Régime de rentes du Mouvement Desjardins, Desjardins Financial Security Life Assurance, Certas Home and Auto Insurance Company, Industrial Alliance Insurance and Financial Services Inc. and The Manufacturers Life Insurance Company.
  • Groupe Axor Inc., as project sponsor, and Namewaminikan Hydro Inc., as borrower, in connection with the syndicated financing of the construction of a 10-MW hydro power generation project located on the Namewaminikan River in Ontario.
  • Canadian Apartment Properties Real Estate Investment Trust (CAPREIT) in its acquisition of 3,661 suites in 51 buildings located in the Greater Montreal area from the F.D.L. group for a purchase price of C$490M.
  • Groupe Axor Inc. as project sponsor, and Société Hydro-Canyon Saint-Joachim Inc., as borrower, in connection with the syndicated financing of the construction of a 23.2-MW hydro power generation project located on the Sainte-Anne River in Saint-Joachim, Québec.
  • Consortium Concession A25, L.P. led by Macquarie Infrastructure Partners in connection with the refinancing of the A25 toll road project (PPP).
  • EDF EN Canada Inc., a subsidiary of EDF Energies Nouvelles, in the sale to Enbridge Inc. of an additional 17.5% stake in the 300-MW Lac Alfred Wind Project and an additional 30.0% stake in the 150-MW Massif du Sud Wind Project.
  • EDF EN Canada Inc., a subsidiary of EDF Energies Nouvelles, in connection with the sale of an equity interest in the Saint-Robert Bellarmin Wind Project to Fiera Axium Infrastructure and Régime de rentes du Mouvement Desjardins.
